Graduated in Business Administration from the São Paulo Business School of the Getúlio Vargas Foundation (EAESP-FGV). He began his career in the financial market in 2006, working in an investment boutique on M&A and Private Equity transactions. In 2009, working for a North American Private Equity Fund, he took up a position as New Business Manager in an investment company in the renewable energy sector (Ethanol and Biodiesel). From 2010 to 2018 he worked for the J&F Investimentos group in various roles, where he ended up as M&A Director. He joined SIMPAR S.A. in 2019, holding the position of Executive Vice President of Planning and Management until April 2024, where he was appointed CEO of Automob SA. Barreto led the group’s acquisitions, actively participating in the process of creating and developing Automob, where he led seven acquisitions in two years, allowing the company to consolidate its position as one of the largest light vehicle dealership groups in the country. He has also been a member of the company’s management committee since its creation, actively contributing to the definition and execution of strategic planning. |

Mr. Soldi has more than 26 years’ experience in the dealership sector, having started his career at Volkswagen as a trainee, rising to regional field executive, then as an executive and shareholder of the Saga Group for more than 20 years, where he managed 39 new vehicle, parts and service dealerships across 16 car brands, as well as 19 independent used-vehicle store operations, leading a total of more than 2,100 employees. |

Fernando Antonio Simões has been with the company for 40 years and is chairman of SIMPAR, a publicly traded holding company (B3) that controls the following companies: Movida, JSL, Vamos, Automob, CS Brasil, CS Infra and the BBC Digital bank. He is also Chairman of the Board of Directors of JSL, Movida and Vamos – the group three listed companies – and a member of SIMPAR Board of Directors. Working at the company since he was 14 years old, the businessman has dedicated himself to the development of the company founded by his father, Julio Simões, in 1956. Between the 1990s and 2000s, sharing management with his father, Fernando led the process of diversifying operations and logistics services, followed by JSL ‘s IPO in 2010. Continuing this transformation, the businessman structured the company into business units and then into independent companies, leading the corporate reorganization process that simplified the groups structure within a management model that has SIMPAR as the holding company and controller of the companies with management and operations that are totally independent and aligned with its management model. As part of this process led by the businessman and carried out by the groups more than 36,000 employees, the company has been expanding strongly in the mobility, infrastructure and sanitation segments – essential sectors and present in the real economy – as well as offering financial products and services that make Simpar one of the largest financial groups in the country. Culture and values are the drivers that strengthen the group’s development. Mr. Fernando is also chairman of the companys board of directors. |

Financial Committee
A non-deliberative committee, its purpose is to analyze financial operations, recommend actions to improve financial management and monitor the implementation of these measures, reporting the results to the Board of Directors at the intervals defined by this body. The committee responds and reports its activities to the Board of Directors, through the Committee Coordinator.

She began his professional career at Banco Real, having later worked at CAIXA EECONÔMICA FEDERAL for 36 years, where she held various executive positions, with emphasis on Regional Superintendent in the regions of São Paulo – Capital, Osasco and Municipalities and East Zone and Alto Tietê Municipalities. Subsequently, they assumed executive functions in several public companhies at the federal, state and municipal levels, among them: – Chief Executive Officer Emplasa, – Chief Ecxecutive Officer CODASP, – Chief Executive Officer CPOS (Cia Paulista de Obras e Seviços), Administrative and Process Officer at DSP (Develops São Paulo), – Administrative and Financial Director of MCTIC (Ministry of Science, Technology, Innovation and Communication), – Administrative and Financial Director of ADESEMPA (São Paulo Development Agency). Ethics and Compliance Committee
This Committee’s purpose is advising the Company on compliance, disclosure and updating of the Company’s Code of Conduct and internal rules. The Committee is also responsible for reviewing, enforcing disciplinary measures, recommending and monitoring preventive measures in cases of breach of national law, especially regarding the compliance with the Anti-Corruption Law and other laws prohibiting bribery, fraud, offering or receiving improper advantage. To achieve its purpose, the committee evaluates the efficiency and effectiveness of the Integrity Program’s legal requirements, with the goal of establishing a compliance culture, promoting the mitigation and preventing risks and damages to the business.
